<p>Lauk, former management board member of DaimlerChrysler,
brings deep expertise in global business</p>
<p>MOUNTAIN VIEW, Calif. - May 24, 2004 – VERITAS Software Corporation (Nasdaq: VRTSE) today announced the appointment of a new, independent director to its board—Dr. Kurt Lauk, 58, former management board member of DaimlerChrysler. The company also announced that Mark Leslie is retiring from the VERITAS board effective May 31, 2004.</p>
<p>“Kurt brings a tremendous depth of knowledge in global business, industry and corporate leadership,” said Gary Bloom, chairman, president and CEO, VERITAS Software. “His management experience at DaimlerChrysler, one of the world’s most respected companies, is a tremendous addition to the VERITAS team. We are honored to have him as a member of our board.”</p>

<p>Lauk is currently president of Global Capital Partners (Globe GP, GmbH). Previously, he served as a member of the management board for DaimlerChrysler. Lauk also served as a member of the Chairman Integration Council after the DaimlerChrysler merger. Lauk led the world-wide commercial vehicle division at DaimlerChrysler and previously at Daimler-Benz AG and Mercedes-Benz AG. Lauk is credited with successfully turning around and growing the company's $22 billion commercial vehicle business, nearly tripling the operating profit to $1.1 billion in 1998.</p>
<p>Lauk currently serves on several supervisory boards and on selected advisory councils including the renowned German-French Institute in Ludwigsburg, Germany and the International Institute of Strategic Studies (IISS) in London. Lauk has also served on several commissions both on the federal and state level in Germany and is currently a member of the board of directors for Corus Group plc of London.</p>
<p>Lauk teaches business strategy and finance at the prestigious European Business School in Reichartshausen/Eltville. He was also a lecturer in global management at the Stanford University Graduate School of Business.</p>
<p>Lauk holds a Ph.D. in political science from the University of Kiel in Germany and a master’s degree in history and theology from the University of Munich, Germany. He received his master’s degree in business administration from the Stanford University Graduate School of Business.</p>
<p>Mark Leslie Retires from VERITAS Board
“We thank Mark for his many dedicated years of service to VERITAS,” Bloom said. “Mark joined VERITAS Software as a director in 1988 when the company had 12 employees and annual revenues of $400,000. He served as chief executive officer from 1990 to November 2000 during which time the company, under his leadership, approached 4,800 employees worldwide and $1.2 billion in annual revenues.”
In announcing his intention to retire from the VERITAS board of directors, Leslie noted, “I have enjoyed working with the creative and dedicated men and women at VERITAS. It has been an honor to have been able to contribute to the development of this great company.”
Leslie plans to continue with his other current activities, which include serving on various public, private, and non-profit boards and teaching entrepreneurship at Stanford’s Graduate School of Business and its Engineering School.</p>
